Terms of Service

1. Agreement and who we are

These terms are an agreement between you (the "customer") and BlackAtlas Global LLC, a Delaware limited liability company, 16192 Coastal Highway, Lewes, DE 19958, USA ("we", "us"). By using the ERP PRO website or service you agree to these terms. If you accept them for an organisation, you confirm you may bind that organisation.

2. The service

ERP PRO is provided as a cloud service at app.erp-pro.biz and, where agreed in an order, as software installed on the customer's own servers (on-premise).

3. Accounts and users

The customer is responsible for its users, for keeping credentials safe, and for the roles and permissions it gives each user. Tell us promptly if you suspect unauthorised use.

4. Trials

Trials are provided as-is for evaluation. We may end a trial at any time. Data entered during a trial may be deleted after the trial ends unless the trial is converted to a paid subscription.

5. Subscriptions, fees and taxes

Plans are priced per user, as shown on the pricing page or in an order. Fees are billed in advance. Taxes are added where applicable.

6. Customer data

Data the customer puts into ERP PRO belongs to the customer. We process it only to provide the service. The customer can export its data.

7. Acceptable use

• No unlawful use of the service.
• No attempts to break, probe or bypass security.
• No abuse of messaging connectors, including sending spam by e-mail, SMS or WhatsApp.

8. Third-party services

Payment, SMS, courier and other providers that a customer connects are governed by their own terms. The customer's relationship with them is directly between the customer and that provider.

9. Availability and support

Availability and support are as described in the customer's plan. We announce maintenance windows in advance where possible.

10. Intellectual property

The ERP PRO software and everything we provide with it remain ours. The customer receives a right to use the service during the subscription.

11. Confidentiality

Each party keeps the other's non-public information confidential and uses it only to perform this agreement.

12. Warranties and disclaimers

We provide the service with reasonable care and skill. Apart from what these terms say, the service is provided without other warranties, to the extent the law allows.

13. Limitation of liability

To the extent the law allows, neither party is liable for indirect or consequential losses. Any further limits are set out in the customer's order or agreement with us.

14. Term, termination and data export

A subscription runs for the period in the plan or order. Either party may end it for a serious breach that is not fixed after notice. After termination, the customer may export its data for a reasonable period before it is deleted.

15. Governing law

These terms are governed by the laws of the State of Delaware, USA.

16. Changes to these terms and contact
